  • Second in command to the Associate Vice President (AVP)
  • Day-to-day administration of the Luxembourg companies in compliance with legal requirements
  • Provide support to the deal teams at the various stages of the investments for the credit strategies
  • Drafting and/or review of the relevant documentation and supervision of the administration of all Luxembourg companies
  • Review and/or draft of contracts, agreements, reports
  • Drafting and/or review of any kind of documents prepared internally or by service provider and ensure their compliance with local law requirements
  • Take care of Luxembourg or foreign compliance enquiries (know-your-customer or beneficial ownership requests)
  • Shareholders: review and/or drafting of all the documentation for shareholders’ general meetings including convening notices, proxies, minutes
  • Board of Managers: organization of quarterly meetings held in Luxembourg: coordination dates, prepare board pack, review of the minutes
  • Review and/or draft of resolutions of the Board of Managers and of the Shareholders
  • When needed in particular as regards financing of investments and periodical funds upstream (distributions)
  • Review and/or draft of Board of Managers resolutions relating to investments and related proxies
  • Follow-up of the investment transactions
  • Assist the AVP in the supervision of the team and coordination with the finance team, deal teams and FM teams from office abroad
  • Tracking lists and templates to be maintained by the legal team
  • Develop internal working procedures and assist with training of procedures
  • Monitor the internal database, ensure team files are kept up to date and organised


  • Bachelors degree in Law at minimum
  • Minimum of 5 years of experience (ideally 7) in a similar position or as a corporate lawyer specialized in PE (ideally in a law firm)
  • Transaction experience required
  • Experience of credit environment is required
  • Demonstrated knowledge in Credit products
  • Fluent in English, French to be considered as an advantage - any additional foreign language is an asset
  • Strong knowledge and understanding of Luxembourg corporate Law
  • Good knowledge and understanding of private equity investment and or credit structure structures
  • Good experience in coordinating with third-party investors, accountants and attorneys
  • Strong organizational skills
  • Ability to work autonomously
  • Attention to detail
  • Flexibility and collaborative attitude
  • Ability to work under pressure in a fast-paced environment
  • Excellent office skills (Excel, Word, Adobe, Outlook)
  • Excellent communication skill – both verbal and written
  • Good experience in assisting with management of a team and coordination with other internal departments and external parties
