Responsibilities:
- In charge of all legal activities of the office and provide support to the transactional teams on sophisticated transactions
- Drafting and organizing all documentation in association with incorporation of new companies and management of funds
- Leading the team of Paralegals and supporting to the business in association with all aspects of the investments of the funds
- Daily administration of the domiciled companies in assuring compliance of the statutory and legal requirements including KYC and due diligence procedures
- Provide expert and strategic legal advice to the Management
- Set internal governance policies and manage the impact of external factors
- Evaluate and weigh multiple inputs and impacts of any decision or course of action
- Anticipate issues and estimate risks strategically
- Identify proactive solutions that will eliminate or mitigate risks
- Create associations of trust and respect with key stakeholders
- Deal with external parties (regulators, external counsel, clients)
- Attract, develop, direct, motivate and drive performance from team
- Draft agreements that minimize risks and maximize legal rights
- Deal with complex, significant matters that cut across legal and related areas
- Keep abreast of legislative changes
- Preparation of the shareholder and board meetings of the companies
- Take over board member positions in SOPARFIs, PSF and AIFMs
- Assist the accounting team when necessary
Requirements:
- University degree in Law with previous experience working either for an Investment company or a Law Firm in Luxembourg
- Extensive previous exposure to Fund Industry and PE transactions in general
- Proven legal counseling experience in business environment
- Overall broad legal knowledge (Corporate Law, Funds, RE, PE. etc.)
- In-depth understanding of how legal issues affect organizations
- Ability to develop legal strategy and objectives
- Well-versed in how business operate with financial acumen
- High degree of professional ethics, integrity and gravitas
- Excellent judgement and analytical skills
- First class interpersonal and communication skills
- Ability to anticipate legal issues or risks and to “see around the corner”
- Independent with excellent drafting skills
- Ideally native proficiency in English. Any other languages such as French, Dutch or German considered as asset
